Terms of Service

The ground rules for working with Nexora Digital, governed by the law of England and Wales.

1. These terms

These terms apply to all design and build services provided by Nexora Digital ('we', 'us') to you, the client. By purchasing a package or accepting a quote you agree to these terms. Where a written quote or project proposal conflicts with these terms, the quote takes precedence for that project.

2. Quotes and scope

Every project is quoted individually based on the scope agreed in writing. A quote is valid for 30 days. Anything not listed in the agreed scope — extra pages, additional revision rounds, new features, integrations, copywriting or ongoing content updates — is quoted separately and only started once you approve it in writing.

3. Free homepage preview

We may produce a free homepage concept before you commit. This is a design concept only, carries no obligation on either side, and remains our property until a project is agreed and paid for. We may show anonymised concept work in our own portfolio unless you ask us in writing not to.

4. Your responsibilities

You agree to provide content, images, brand assets, logins and feedback promptly, and to confirm you hold the rights to everything you supply. You are responsible for the accuracy and legality of the content you give us, including any claims, prices and regulated information. Delays in supplying content or feedback will move the delivery timeline accordingly.

5. Revisions and approval

Each package includes the number of revision rounds stated in the quote. A round means one consolidated set of feedback. Additional rounds are charged at our standard hourly rate. If we receive no feedback within 14 days of sending work for review, that stage is treated as approved so the project can progress.

6. Fees and payment

Prices shown on our pricing page are in pounds sterling. Package fees are payable up front through our Stripe checkout unless your quote states a deposit and balance structure. Where a project is invoiced, payment is due within 14 days. Late payments may attract statutory interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. We may pause work on an overdue account.

7. VAT

Nexora Digital is not currently VAT registered. No VAT is charged on the prices shown. If we become VAT registered in future, VAT will be shown separately on quotes and invoices from that date.

8. Delivery and launch

Indicative timelines are given in your quote and depend on receiving content and feedback on time. Launch requires a hosting environment and, where relevant, a domain you control. Domain registration, third-party subscriptions, premium plugins, stock imagery and hosting costs are your responsibility unless expressly included.

9. Intellectual property

We retain ownership of all designs, code and deliverables until the project is paid in full. On receipt of final payment, ownership of the delivered website design, content and custom code transfers to you. We retain ownership of our underlying tools, frameworks, components and know-how, and grant you a perpetual licence to use them as part of your website. Third-party assets remain subject to their own licences.

10. Portfolio and credit

We may display completed work, screenshots and a link to your live site in our portfolio and marketing, unless you ask us in writing not to. We may place a discreet credit in the site footer; you may ask for its removal at any time.

11. Post-launch support

Every project includes 14 days of complimentary post-launch support for issues relating to the website we delivered. After that period, further changes, redesigns or updates are quoted separately. We do not require you to buy hosting or a monthly subscription from us. Fixing problems caused by third-party changes, client edits or expired third-party services is chargeable.

12. Cancellation and refunds

Cancellation rights, deposits and refunds are set out in our Refund Policy, which forms part of these terms. If you cancel mid-project, you remain liable for work completed up to the cancellation date.

13. Liability

We provide our services with reasonable care and skill. We are not liable for indirect or consequential losses, loss of profit, loss of revenue, loss of data or loss of goodwill. Our total liability for any project is limited to the total fees you have paid us for that project. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited. We do not guarantee specific search rankings, traffic levels, conversion rates or sales.

14. Third-party services

Websites we build may rely on third-party services such as hosting platforms, payment providers, booking systems, maps and analytics. Those services are governed by their own terms and availability, and we are not responsible for their outages, pricing changes or discontinuation.

15. Confidentiality and data protection

Each party will keep the other's non-public business information confidential. Where we process personal data on your behalf, we do so as your processor under UK GDPR and only on your instructions. Our own handling of personal data is described in our Privacy Policy.

16. Business clients

Our services are supplied business-to-business. Consumer-specific statutory rights, including the 14-day cooling-off period under the Consumer Contracts Regulations 2013, apply only where you are buying as a consumer rather than for business purposes; see our Refund Policy for how that is handled.

17. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any provision is found unenforceable, the remainder continues to apply.

18. Changes to these terms

We may update these terms from time to time. The version in force when you accepted your quote or completed checkout applies to that project. The date at the top of this page shows the current version.
